Terms and Conditions

  1. General
    All sales made by Citrus Tech Inc. (“Seller”) are subject to the following terms and conditions unless otherwise agreed in writing.

  2. Pricing
    Prices are subject to change without prior notice. Quoted prices are valid for the period stated on the quotation only.

  3. Payment Terms
    Payment is due according to the agreed credit terms. Overdue balances may be subject to interest charges of 2% per month (24% per annum).

  4. Ownership of Goods
    All goods remain the property of the Seller until paid in full.

  5. Shipping and Delivery
    Delivery dates are estimates only. Seller shall not be liable for delays caused by carriers, manufacturers, shortages, customs, force majeure, or circumstances beyond Seller’s control.

  6. Inspection and Claims
    Customers must inspect all goods upon receipt. Any shortage, damage, or discrepancy must be reported within 48 hours of delivery.

  7. Returns and Exchanges
    Returns require prior authorization from Seller.

    • Brand new, unopened items may be subject to a restocking fee.

    • Used, opened, special order, clearance, and discontinued items are non-returnable.

    • Returns requested after 30 days from invoice date may not be accepted.

  8. Warranty
    Seller only passes through manufacturer warranties where applicable and does not provide additional warranties unless stated otherwise in writing.

  9. Limitation of Liability
    Seller shall not be liable for indirect, incidental, consequential, or special damages, including loss of profit, business interruption, or data loss arising from the use or inability to use the products sold.

  10. Technical Support
    Basic technical support may be provided at Seller’s discretion. On-site service, programming, configuration, and advanced support may be billable.

  11. Special Orders
    Deposits for special order or non-stock items may be required and are non-refundable once the order is placed with the manufacturer.

  12. Force Majeure
    Seller shall not be responsible for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, government actions, or transportation delays.

  13. Governing Law
    These terms and conditions shall be governed by the laws of the Province of Ontario and the applicable laws of Canada.

  14. Acceptance
    Purchase, receipt, or acceptance of goods constitutes acceptance of these terms and conditions.
